DO NOT ENGAGE IN TAKING SERVICES FROM MR HARSH MEHTA

I do not intend to engage further with Mr. Harsh Mehta and am therefore closing this loop with you to rest the matter conclusively.
Upon reviewing the Form ADT-1 shared by the new CS/auditor, it correctly records the appointment of the new auditor through the Board Meeting held on 30th October 2025. It was therefore legally and procedurally appropriate to seek Mr. Prasad Manjrekar’s signature on the said document.
Mr. Harsh Mehta’s refusal to implement Mr. Prasad Manjrekar’s digital signature (DSC) on the document, under direct instructions from Mr. Manjrekar himself, constitutes a deliberate board blockade and an obstruction of due process as well as the company’s normal functioning. Should the patent rights have been transferred to the company? When viewed together with nearly 80% of the company’s shares remaining unissued, these facts strongly point towards a possible planned hostile takeover of the shareholding and the board.
Furthermore, Mr. Harsh Mehta has intentionally concealed all these facts and is holding back assets rightfully owned by the company, including share certificates, DSC signatures, and login credentials, thereby breaching professional ethics and acting with malicious intent, despite asking them to be returned, restricting us in filling ITR/ROC. In light of such actions, neither his company nor Mr. Harsh Mehta personally are recommended for any professional engagement, now or in the future by me.
Further, I put you to notice that under no circumstances shall my DSC be misused or applied for the issuance or allotment of the said 80% shares, even if the other director brings in funds or attempts any such action to change status-quo.
